These Terms & Conditions ("Terms") govern your use of this website and of the ShinyAcquisition client portal, both operated by LaShiny ("we," "us," or "our") under the ShinyAcquisition brand. These Terms do not form a service agreement; the services themselves are governed by a separately signed Service Agreement, which prevails over these Terms if they conflict. By accessing or using the website or the portal, you agree to these Terms. If you do not agree, please do not use them.
1. The Website and the Portal
This website provides information about our offering, lets you request a free resource, and lets you book a call with us. Booking a call or requesting a resource does not, by itself, create any client or service relationship; any engagement is governed by a separate agreement. The portal is available only to clients with an active Service Agreement and the login credentials we issue.
2. Portal Accounts
- Portal credentials are issued by us and are for your organization's use only. You are responsible for keeping them confidential and for all activity under your account.
- Do not share credentials outside your organization or allow unauthorized access. Notify us immediately if you suspect your account is compromised.
- We may suspend or freeze portal access as provided in your Service Agreement (for example, for overdue payment), and we may revoke access when your Service Agreement ends.
3. Eligibility
You must be at least 18 years old and located in the United States to use the website or the portal.
4. Acceptable Use
You agree not to:
- Use the website or the portal for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to the website, the portal, their systems, or their data, including data belonging to other clients.
- Scrape, copy, harvest, or republish content or data from the website or portal without permission.
- Interfere with or disrupt the website or portal, or introduce malware or harmful code.
- Submit false information or someone else's information without authorization.
5. Intellectual Property
All content on the website and the portal , including text, design, layout, graphics, logos, software, and the "ShinyAcquisition" and "LaShiny" names , is owned by us or our licensors and is protected by applicable laws. You may not reproduce, distribute, or create derivative works from it without our prior written permission. Data you create in the portal belongs to you as described in your Service Agreement.
6. Forms and Bookings
When you submit a form or book a call, you agree the information you provide is accurate and that you may be contacted at the details you supply. Submissions are handled as described in our Privacy Policy.
7. Third-Party Services and Links
The website and portal use and link to third-party services (including Tally, Make.com, Calendly, Supabase, Notion, Stripe, Google, and content delivery networks) and may link to third-party sites. We do not control these services and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms.
8. Disclaimer
The website and the portal are provided on an "as is" and "as available" basis. We do not warrant that they will be uninterrupted, error-free, secure, or free of harmful components, and we disclaim all warranties to the fullest extent permitted by law. Service commitments, if any, are those stated in your Service Agreement.
9. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of, or inability to use, the website or the portal. Our total liability relating to the website itself is limited to the amount you paid us to access it, which is zero. Liability relating to the services and the portal is governed by your Service Agreement.
10. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your misuse of the website or the portal, or your violation of these Terms.
11. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page, and continued use of the website or portal means you accept the updated Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms will be resolved by binding arbitration in Florida under the rules of the American Arbitration Association, except that either party may bring an individual qualifying claim in small claims court. If you have a signed Service Agreement with us, its dispute resolution terms govern disputes about the services.
